These Terms and Conditions (“Terms”) govern your access to and use of the Seira AI website and any services purchased or accessed through it. Seira AI is a trade name operated by Nordgrowth Partners LLC (“Company,” “we,” “us,” or “our”). By using our website or purchasing services, you agree to these Terms.

1. Services
We provide professional consulting services and may provide digital deliverables and/or live sessions. The specific scope, timeline, deliverables, and fees (if any) will be described in a separate written agreement, proposal, or statement of work (“SOW”). If there is a conflict between these Terms and an SOW, the SOW controls for that engagement.

2. No Legal/Financial/Compliance Advice
Our services are provided for informational and operational purposes and do not constitute legal, tax, accounting, or other regulated professional advice. You are responsible for obtaining advice from qualified professionals as needed.

3. Client Responsibilities
You agree to provide timely access to information, systems, personnel, and feedback reasonably required to perform the services. Delays caused by missing inputs or approvals may affect schedules and outcomes.

4. Fees, Payment, and Taxes
Fees and payment terms are defined in your agreement/SOW or invoice. You are responsible for applicable taxes unless we are required by law to collect them.

5. Refunds
Refunds are governed by our Refund Policy and any applicable agreement/SOW.

6. Intellectual Property
Unless otherwise stated in a written agreement:
- Pre-existing materials: Each party retains ownership of intellectual property they owned before the engagement (including tools, templates, know-how, and frameworks).
- Client-provided materials: You retain ownership of materials you provide to us.
- Deliverables: Ownership, licensing, and permitted use of deliverables will be defined in the agreement/SOW. If not specified, deliverables are licensed to you for internal business use only, and we retain ownership of underlying methodologies, templates, and general know-how.

7. Confidentiality
If we enter a separate confidentiality agreement (NDA), it governs confidentiality. If not, both parties agree to use reasonable care to protect non-public confidential information and to use such information only to perform the services.

8. Third-Party Tools and Services
We may use or recommend third-party tools (including AI tools, hosting tools, and integrations). Your use of third-party tools is subject to their terms, and we are not responsible for third-party outages, changes, or policies.

9. Disclaimers
Our services and website are provided “as is” and “as available.” We do not guarantee specific outcomes unless expressly agreed in writing. To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business interruption.
- Our total liability for any claim arising out of or related to the services or website will not exceed the amounts paid to us for the specific services giving rise to the claim during the three (3) months preceding the event first giving rise to liability (or the minimum amount required by law, if higher).

11. Termination
Either party may terminate an engagement as provided in the applicable agreement/SOW. If no termination terms exist, either party may terminate with written notice; you remain responsible for fees for services performed up to the termination effective date.

12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

13. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised Effective Date. Your continued use after changes constitutes acceptance.
